These terms and conditions (“Agreement”) establish the general terms of use for the philer.ai website (“Website”), the “Philer” mobile application (“Mobile Application”), and any related products and services (collectively, “Non-Legal Services”). Non-Legal Services encompass all Philer products or services available via the Website or Mobile Application, excluding legal services provided by Aura Law, a separate law firm. This Agreement forms a legally binding contract between you (“User,” “Visitor,” “you,” or “your”) and Philer Inc. (doing business as “philer,” “we,” “us,” or “our”). By accessing and using the Non-Legal Services, you confirm that you have read, understood, and agreed to the terms of this Agreement.

Non-Legal Services Disclaimer

Philer Inc. is not a law firm. You may choose to engage Aura Law, a separate entity accessible via secure.philer.ai, for legal services. When you first access philer.ai, you are considered a “Visitor” with access to Non-Legal Services such as blogs, pricing information, and other resources. Upon entering into a legal services engagement with Aura Law, you will be considered a “Client.” These terms apply solely to Visitors and the Non-Legal Services provided by Philer.

The content on our blog and information available on the Website or Mobile Application is intended for informational purposes only and should not be considered legal advice. You should not take action based on this information and are advised to seek specific legal advice for your legal issues. Prior results, articles, and case studies available on the Website or Mobile Application do not guarantee similar outcomes in future cases.

Philer reserves the right to correct errors or inaccuracies on the Website or Mobile Application without prior notice. Information on Non-Legal Services is subject to change, and Philer is not obligated to update or clarify it.

Payment and Billing Terms

All fees and charges are due according to the terms in effect at the time of payment. We reserve the right to change products and pricing but will not increase fees for contracted services midway through an engagement unless the services required change.

You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. We reserve the right to change products and product pricing at any time, but we will not increase fees for contracted services midway through an engagement unless the required services change.

If auto-renewal is enabled for the Non-Legal Services you have subscribed for, you will be charged automatically in accordance with the term you selected.

Third-Party Services

Non-Legal Services may link to external resources, but Philer does not imply any endorsement or affiliation unless explicitly stated. Affiliate links may result in Philer receiving commissions for purchases made through them. Philer is not responsible for the content or actions of external sites, and linking to these sites is at your own risk.

Philer utilizes third-party service providers to deliver Non-Legal Services. Your use of these third-party services is governed by their terms and conditions. Philer is not responsible for these services and disclaims any liability for damages or losses resulting from their use. Enabling third-party services allows Philer to share necessary data to facilitate the service.

While using Non-Legal Services, you may interact with advertisers or sponsors. Any such interactions, including correspondence, purchases, or promotions, are solely between you and the third party. Philer has no liability for these interactions.

Intellectual Property Rights

All intellectual property rights related to Non-Legal Services remain with Philer or its licensors. Your use of Non-Legal Services does not grant you any rights to reproduce or use Philer or third-party trademarks.

Disclaimer of Warranties

Non-Legal Services are provided “as is” and “as available.” Philer disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Philer does not guarantee that Non-Legal Services will meet your requirements or be uninterrupted, secure, or error-free.

Limitation of Liability

Philer is not liable for any direct or indirect damages resulting from your use of Non-Legal Services. Liability for direct damages is limited to the amount you paid for the services in the preceding 12 months. Philer will provide reasonable identity theft protection services in the event of a data breach caused by its negligence.

Backups

Philer performs regular backups of the Website and its content to minimize impact in the event of data loss or hardware failure.

Dispute Resolution

This Agreement is governed by the laws of Ontario, Canada. Any disputes will be resolved in the courts of Ontario, and you waive the right to a jury trial. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Assignment

You may not transfer or assign your rights or obligations under this Agreement without Philer’s prior written consent. Philer may assign its rights or obligations to any third party.

Accuracy of Information

Access to Innovation (A2I) Program Participation

Philer is an LSO-approved participant in the Access to Innovation (A2I) project. More information about the project is available online at Access to Innovation.

Philer’s participation in A2I, along with the LSO’s approval, is specific to its operation of an online platform that provides real estate legal services to users involved in residential real estate transactions in Ontario (the “Approved Services”).

Please note the following important details regarding Philer’s services and the LSO’s approval:

The LSO has not certified or endorsed the effectiveness of Philer’s services.
Philer is not a law firm and is owned by non-lawyers. Some individuals managing Philer are not licensed lawyers or paralegals regulated by the LSO.
A licensed lawyer regulated by the LSO oversees the delivery of the Approved Services by Philer.
Some individuals involved in providing the Approved Services through Philer are not LSO Licensees. As a result, certain service protections typically available when legal services are provided by an LSO Licensee may differ or not be available, including:
- Communications with or information provided to Philer may not be subject to solicitor-client privilege.
- Philer may be legally required to disclose information provided by consumers to authorities or third parties.
- Another party involved in the matter may also be using the same Approved Services provided by Philer.
- There is no statutory complaints process available for the Approved Services.

Aura Law, on the other hand, is a law firm solely owned and managed by LSO Licensees and is regulated by the LSO like other law firms. The same service protections that apply to other law firms, such as solicitor-client privilege, disclosure of information, conflicts, and statutory complaints, apply to legal services provided by Aura Law.

The LSO is not responsible or liable for any claims, losses, damages, or issues arising from Philer’s advertising, the provision of Approved Services, their suitability for intended purposes, or any other quality, availability, or service-related matters.

Acceptance of these terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Non-Legal Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Non-Legal Services.

Amendments to Agreement

Philer reserves the right to modify this Agreement or its terms related to Non-Legal Services. Changes will be communicated through the Website or Mobile Application.
